The Board Speaks with One Voice

It is each board member’s responsibility to ensure that they represent the membership and that their opinions and concerns are presented and understood when an issue is discussed and/or voted on. There is always a desire to reach a consensus on board decisions, but there will naturally be occasional issues were not all agree total consensus is not reached, as people of diverse backgrounds and strong opinions rarely agree on every issue. It is ACE’s policy that debate on issues and discussion of disagreements be conducted with due respect of all board members and opinions and that all shall be “left at the table” when the debate closes.

It is ACE policy that, at the close of debate and deliberation, having had full opportunity to be represented and heard, if a quorum is present and a vote taken, each director and officer should support the corporate decision of the Board. Board members should not actively speak against or act counter to decisions under such circumstances.

While every board member has the right to personal opinion and, if asked directly, to answer honestly, it is critical that board members fairly represent and support the majority decision of the board.  New board members should also consider these principles when addressing actions taken prior to their service.
